1. What the Service is
Vanbert OS is software for custom cabinet shops, their dealers, designers, installers, suppliers and clients: projects and tasks, calendar, client records, estimates, documents and electronic signing, commerce and marketplace features, banking and financial records, AI assistance, and a client-facing portal. It is a tool for running your business. It is not an accounting firm, a law firm, a bank, a payment network, or a party to the contracts you sign with your own customers.
We may add, change or retire features over time. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for without offering a refund for the unused part of that period.
2. Accounts and eligibility
You must be at least 18 years old to use the Service. You are responsible for the accuracy of the information in your account, for keeping your password confidential, and for everything done through your account. Tell us promptly at the address below if you believe your account has been accessed without authorization.
A workspace (a company in Vanbert OS) is controlled by its owner. The owner and the administrators the owner appoints decide who else may join the workspace, what role they hold, and which clients, dealers or signers may see a project. We act on those decisions; we do not second-guess them.
3. Plans, trial, billing and cancellation
Paid plans are billed monthly in advance through Stripe, our payment processor, at the price shown on the sign-up page and on the plans page inside the app at the time you subscribe. Prices are in US dollars and exclude any applicable taxes, which are added where the law requires. New workspaces may receive a free trial of 30 days; when the trial ends, the plan you chose begins unless you cancel first.
Subscriptions renew automatically each month until you cancel. You may cancel at any time from the app or by writing to us; cancellation takes effect at the end of the billing period already paid for. Because the fees are low and billed monthly, we do not refund partial months, except where the law requires it or where we have reduced the Service as described above.
We may change our prices. We will give you at least 30 days' notice by email or inside the app before a price change applies to an existing subscription. If you do not agree with the new price, cancel before it takes effect.
If a payment fails, we will tell you and retry. If payment is still not received after reasonable notice, we may limit the workspace to the free tier or suspend it. Your data is not deleted because of a failed payment; see the section on termination for what happens to data.
Each plan has limits (for example on active members or projects). The limits that apply to your plan are shown in the app and may be enforced automatically.
4. Your content and your clients' data
Everything you put into the Service — projects, tasks, documents, files, client records, estimates, financial records, messages — is yours (“Your Content”). You grant us only the rights needed to host, store, back up, process, display and transmit Your Content in order to provide the Service to you, and to the people you choose to share it with.
You are responsible for Your Content and for having the right to use it in the Service. In particular, when you enter information about your own clients, employees, subcontractors or signers, you confirm that you are allowed to do so and that you have given them any notice the law requires. For that information, you are the data controller and we are your processor: we handle it only on your instructions, as described in the Privacy Policy, and we do not use it for our own purposes.
You can export your data and ask us to delete it, as described in the Privacy Policy. Keep your own copies of anything you cannot afford to lose; the Service is not an archive of record.
5. Acceptable use
You agree not to, and not to let anyone using your account:
- use the Service for anything unlawful, or to store or send unlawful, infringing, defamatory or fraudulent material;
- attempt to access another workspace's data, bypass access controls, probe or scan the Service for weaknesses, or interfere with its operation;
- reverse engineer, scrape, copy or resell the Service, or use it to build a competing product, except as the law expressly allows;
- send spam or unsolicited messages through the Service, including through the Gmail integration;
- upload malware, or files you do not have the right to share;
- misrepresent who you are or whom you act for, including in electronic signatures.
We may suspend or restrict an account that breaks these rules. Where practical we will warn you first and give you a chance to fix the problem.
6. Documents and electronic signatures
The Service lets you generate documents from your own templates and send them for electronic signature. We provide the tooling only: the content of your proposals, contracts, change orders and other documents, and their legal effect, are your responsibility. Nothing in the Service is legal advice.
Electronic signatures collected through the Service are intended to be valid under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted in Florida. For each signer we record the consent to sign electronically, the typed name and initials, the drawn signature image, the signer's email address, IP address, browser information and timestamps, and we attach that audit information to the signed document. A signed document is locked; changes require a new document, addendum or change order.
You are responsible for identifying the right signer and for sending the signing link only to that person. We do not verify a signer's identity beyond the email address and link you provide.
7. Connected services: Google, banks, Stripe
Connecting Google, a bank, or another third-party service is optional and is done by you. When you connect one, that provider's own terms and privacy policy also apply, and we access only the data needed for the feature you enabled, as described in the Privacy Policy. You can disconnect at any time from Settings.
Bank connections are read-only. Vanbert OS cannot move money, initiate payments, transfers or payouts, and never receives your online-banking credentials. Financial figures in the Service are derived from the data your bank and you provide; they are an aid to running your business, not a substitute for your accountant, your bank statements or your tax filings.
We do not control third-party services and are not responsible for their availability, changes to their APIs, or decisions they make about your account with them.
8. AI features
Parts of the Service use artificial-intelligence models provided by third parties to answer questions, summarize, classify, draft text, read supplier invoices, and run automations you enable. AI output can be wrong, incomplete or out of date. Review it before you rely on it, and never treat it as professional advice. You remain responsible for any action taken on the basis of AI output, including approvals, payments and messages sent to your clients.
We do not train AI models on Your Content. See the Privacy Policy for which providers may receive data and when.
9. Marketplace and dealings between workspaces
The Service includes features through which separate businesses can list, offer, order and supply work to each other, and through which you can share offers or documents with clients and dealers. Any order, offer, quote, contract or payment between two businesses, or between you and your client, is solely between them. We are not a party to those transactions, we do not guarantee that anyone will pay or perform, and we do not vouch for the quality of any party's work. Resolve disputes directly with the other party.
10. Referral program
When we offer a referral program, a workspace that refers a new customer earns 20% of the subscription payments we actually receive from that customer during the customer's first 24 months of paid service. A referral counts only if the new customer signs up within 30 days after arriving through your referral link and was not already a customer or in a trial.
Earned amounts are paid in US dollars, after the end of each calendar quarter in which your balance reached $50, once we have your tax information (a Form W-9 for US persons). Referring yourself, your own workspaces, or accounts created to collect a commission is not allowed and voids the commission. Refunded or charged-back payments are deducted. We may change or end the program with 30 days' notice; amounts already earned remain payable.
11. Availability, backups and support
We work to keep the Service available and take encrypted backups of the database every day, keeping each backup for 30 days. We do not promise uninterrupted or error-free operation, and we may take the Service down for maintenance, with notice where practical. Keep your own copies of important documents and records.
Support is provided by email at office@vanbert.com and by phone at (561) 945-8101 during normal business hours (Eastern Time). We do not guarantee response times.
12. Our intellectual property
The Service, its software, design and documentation belong to Vanbert and its licensors and are protected by copyright and other laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is in good standing, and nothing more. Feedback you give us about the Service may be used by us without obligation to you.
13. Termination
You may close your account at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if we discontinue the Service; except in urgent cases we will give you reasonable notice.
After an account is closed, you may ask for an export of your data within 30 days. We delete your data within 90 days after closure, except for backups (which expire on their 30-day schedule), signed documents and other records we are required to keep by law, and records needed to resolve a dispute or to enforce these Terms. Sections that by their nature should survive — your responsibilities for Your Content, our disclaimers, the limitation of liability, and the dispute terms — survive termination.
14. Disclaimer of warranties
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Service will meet your requirements, that figures, documents or AI output will be accurate, or that data will never be lost.
15. Limitation of liability
To the fullest extent the law allows, Vanbert and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or related to the Service or these Terms, however caused. Our total liability for all claims in any twelve-month period will not exceed the greater of the fees you paid us for the Service in the twelve months before the event giving rise to the claim, or $100.
Some jurisdictions do not allow certain limitations; in those places our liability is limited to the smallest amount the law permits. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
16. Indemnity
You will defend and indemnify Vanbert against claims, damages and reasonable costs brought by a third party arising from Your Content, your use of the Service in breach of these Terms, or your dealings with your own clients, dealers, suppliers or signers.
17. Governing law and disputes
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. Before starting a legal action, you agree to write to us and give us 30 days to resolve the matter informally. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to their jurisdiction. Either party may seek an injunction in any competent court to protect its intellectual property or confidential information.
18. Changes to these Terms
We may update these Terms. The date at the top shows when they last changed. For material changes we will notify you by email or inside the app at least 30 days before they take effect; continued use of the Service after that date means you accept the new Terms. If you do not agree, close your account before the change takes effect.
19. General
These Terms and the Privacy Policy are the entire agreement between you and Vanbert about the Service and replace any earlier agreement. If any part of these Terms is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to a successor of our business. Neither party is liable for delays caused by events outside its reasonable control.
